These Terms of Service (“Terms”) govern your access to and use of the PayNest website, dashboard and payment services (the “Services”) provided by PayNest, Inc. (“PayNest”, “we”, “us”). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

1. Accounts

You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account. Notify us immediately of any unauthorized use.

2. Acceptable use

  • Do not use the Services for unlawful, fraudulent, or prohibited activities.
  • Do not attempt to disrupt, reverse engineer, or gain unauthorized access to the Services.
  • Comply with the rules of the payment networks and gateways used through the Services.

3. Fees

Fees for the Services are described on our pricing page or in your order form. Unless stated otherwise, fees are exclusive of taxes, which you are responsible for.

4. Payment processing

Payment transactions are processed through third-party gateways and financial institutions. Their terms and network rules also apply. PayNest is not a bank and does not provide banking services. Settlement timing may depend on gateways, acquirers and banking partners.

5. Service availability

We aim for high availability and may publish a service-level commitment for paid plans. We may modify, suspend, or discontinue features with reasonable notice where practicable.

6. Intellectual property

The Services, including all software, content and trademarks, are owned by PayNest or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms.

7. Confidentiality & data

Our handling of personal data is described in our Privacy Policy. Each party will protect the other’s confidential information with reasonable care.

8. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law, except as expressly stated in a signed agreement.

9. Limitation of liability

To the maximum extent permitted by law, PayNest will not be liable for indirect, incidental, or consequential damages, and our aggregate liability is limited as set out in your applicable agreement.

10. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms or where required by law or network rules.

11. Changes to these Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
